Terms and conditions
1. You agree to be bound by these terms and conditions which
apply in addition and are supplemental to, standard licence terms
and conditions which apply in relation to use of the software
supplied by PTP or other group company from time to time.
2. The 3 year contract in relation to supply of software and
related services, details of which are published at http://www.ptpsoftware.co.uk
and are provided by PTP or other group company from time to time,
are provided in return for payment of the agreed fee for all of
years 1, 2 and 3 at the date and time prescribed by PTP or other
group company.
3. This offer is open to all customers of PTP. In order to check

4. PC Share Register Plus, Forms Online, and The Professional
Office are excluded from this offer.
5. The 3 year contract will operate as follows:-
a. In year 1 – you will choose which
products you wish to include in the 3 year contract from the
outset. PTP will take payment in full for the products referred to
and upon receipt of payment will supply the software and services
referred to.
b. In year 2 and year 3 – PTP will contact
you by telephone, email or post to take payment for year 2 or 3,
during the two months leading up to the anniversary of the contract
and PTP will then raise a receipted invoice which will be sent to
you in confirmation that monies due in relation to year 2 or 3 have
been received. You will also be issued with new unlock/registration
codes.
6. Additional items or services ordered by you during the term
of the 3 year contract will remain chargeable at the then current
retail price as published from time to time by PTP and will not
become part of the original 3 year contract. In subsequent years
you will be required to pay the lower level fee as paid in year 1
plus the additional fee for the additional product(s) at the
current retail price published at the time of renewal. e.g. Pay
£100 in year 1, choose to add new software in year 2, new software
cost £150.00 in year 2, amount to pay in year 2 £100 (same as year
1) to renew the software licence taken in year 1, plus £150 which
represents the additional product cost at it’s retail price in year
2.
7. Upgrades taken during year 1 and prior to year 2 or year 3
renewal will be charged at the year 1 published price as at 1
March. e.g. You have paid £100 in year 1, you choose to upgrade to
a higher level during the year that costs £150, the amount payable
in year 1 will be the additional £50 or the then current price as
published for that product less that already paid.
8. If you sign up for a 3 year contract we will keep the price
you pay at current levels for the duration of the contract. Even if
you upgrade during the period, you will continue to benefit from
the same effective discount, and will only pay the difference
between the products at the time in addition to the contracted
rate. E.g. You have paid £100 in year 1, and choose to upgrade to a
higher level in year 2 that costs £200. In year 2 the original
level you bought costs £125. In year 2 you pay £100 (same as year
1) plus £75 (the upgrade cost in year 2).
9. Sums are payable in advance as directed by PTP and no refunds
are permissible during the 3 year contract period.
10. In accordance with clause 6 above any additional products or
services ordered after the 3 year contract is confirmed by PTP will
not form part of the 3 year contract and will be chargeable at the
then published retail price plus VAT.
11. Charges will apply as set out below if you choose not to
continue with support and/or licensing of the software or services
by PTP during the 3 year contract term. Any termination notice must
be served in writing within a period of 7 days prior to each
anniversary in order to be effective. Any notice served outside
this period will not be accepted.
12. Charges will equate to 20% of the remainder of the total
cost of the 3 year deal at the published retail price for those
products identified by you at the outset of the 3 year contract in
year 1 and any subsequent year as appropriate e.g. if in year 1 the
product retail price is £100, and you terminate the contract at the
end of year 1 then the sum due on termination of the 3 year
contract, before commencement of year 2 is the sum of £40 (20% of
the £200 outstanding on the total 3 year deal cost).
13. All orders taken must be invoiced by PTP and paid for by you
prior to despatch of the products. Renewal payments for year 2 and
3 must also be made prior to despatch of the products.
14. We reserve the right to make changes to the terms and
conditions of this offer at any time without notice to you.
15. Our decision in relation to this offer is final.
16. PTP reserves the right to end the 3 year contract offer at
any time and without notice.
17. These terms and conditions will be governed by English law
and are subject to the exclusive jurisdiction of the English
Courts.
